Please read carefully the following terms and conditions relating to your use of this website and the products and services provided.

Welcome to Exponential Exposure. When used in these terms, “Exponential Exposure”, “Company”, “we”, “us”, or “our” refers to Exponential Exposure LLC. Your (“user” or “you”) use of and access to the website, services, products and other related online and offline offerings and services (including our social media pages) (collectively, the “Services”) from Exponential Exposure is conditioned upon your compliance with and acceptance of these Terms and Conditions and all incorporated policies (including our Privacy Policy) (the “Agreement” or “Terms”).

If you access, purchase or enroll in Services for use by another (for example, a parent purchasing for a child) these Terms govern both you and other(s) who use any Service you purchase (collectively, “you” or “user”). You agree to be bound by these Terms, which will be considered a binding, legal agreement between you and the Company.  Please read the Terms and Conditions carefully before you start to use the Services. If you do not agree to these terms, please discontinue your access to and use of the Services immediately.

Changes to the Terms

 

We reserve the right to modify the Terms at any time. You should check these Terms periodically for changes. By using these Services after we post any changes to these Terms, you agree to accept those changes. With regard to products and services purchased or utilized from Company, the version of these Terms that were posted at the time of purchase or utilization apply. If at any time you choose not to accept these Terms, do not use the Services. 

Our Role

We offer academic and career planning information, products and services. We assume no responsibility for any result or consequence related directly or indirectly to any action or inaction that users take based on the Services or any other information available through or in connection with the Services.

The information contained in or made available through the Services (including but not limited to information contained in products, from services, or in chats) cannot replace or substitute for the services of trained professionals in any field, including, but not limited to, psychological, financial, medical, or legal matters. Nothing contained on the Services is intended to be a guarantee about your ability to get results, attain happiness, or earn any money with our ideas, information, tools or strategies. The Service is a source of resources, which may not be effective for your intended purpose. All products and services by our company are for educational and informational purposes only. Neither we nor our affiliates or partners, or any of their affiliates, will be liable for any direct, indirect, consequential, special, exemplary or other damages that may result, including but not limited to economic loss, injury, illness or death.

 

Eligibility

We require all users of the Services to be over 13 years of age or older who reside in the United States or any of its territories or possessions and to be over 16 years of age or older for those who reside outside the United States or any of its territories or possessions. We require all purchasers of the Company’s products and services to be over 18 years of age or older.

The Services are not directed to persons who are 13 years of age or younger and reside in the United States or any of its territories or possessions, or who are 16 years of age or younger and reside outside of the United States or any of its territories or possessions. The sale of any of the products or services is not directed to persons under the age of 18. We will not knowingly collect personally identifiable information from persons who are 13 years of age or younger and reside in the United States or any of its territories or possessions, or who are 16 years of age or younger and reside outside of the United States or any of its territories or possessions. WE STRONGLY RECOMMEND THAT PARENTS PARTICIPATE IN THEIR CHILDREN’S EXPLORATION OF THE INTERNET AND ANY ONLINE SERVICES AND USE THEIR BROWSER’S PARENTAL CONTROLS TO LIMIT THE AREAS OF THE INTERNET TO WHICH THEIR CHILDREN HAVE ACCESS.

Exponential Exposure controls and operates the Services from offices in the United States of America. We make no claims that the Services or any of its content is accessible or appropriate outside of the United States. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

By using the Services, you represent and warrant that you meet the eligibility requirements; and you agree to abide by these restrictions, and agree not to help anyone avoid these restrictions. If you do not meet all of these requirements, you must not access or use the Services.

User’s Access & Scope of Use

 

  • You may access and view the Services only for your personal, noncommercial use. 
  • When you download copyrighted material you do not obtain any ownership rights in that material.
  • You may not modify, copy, distribute, download, upload, post, broadcast or transmit, display, disassemble, perform, reproduce, publish, adapt, license, decompile, reverse engineer, create derivative works from, transfer, sell, or make other use of any of the Services or in any way exploit the content of Services.
  • You are responsible for making all arrangements necessary for you to have access to the Services.
  • You are responsible for ensuring that all persons who access the Services through your internet connection are aware of these Terms and comply with them.
  • To access the Servicesor some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Services that all the information you provide on the Services is correct, current, and complete. You agree that all information you provide to register is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
  • You also acknowledge that your account is personal to you and agree not to provide any other person with access to your account. You are responsible for maintaining the confidentiality of your registration and account information.
    • Without limiting the above, you may create an account for a child for whom you are the parent or legal guardian, and in those circumstances you and your child are jointly and severally responsible and liable for their account, credentials and compliance with these Terms. You agree that all information you provide in registration or otherwise is true, accurate, and complete.
  • You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to do so.
  • You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
  • You agree not to do any of the following:
  • Violate any applicable federal, state, local, or international law or regulation;
  • Harass, stalk or otherwise abuse another user;
  • Exploit, attempt to exploit, harm or attempt to harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;
  • Transmit or otherwise make available any content that is false, harmful, threatening, abusive, tortious, defamatory, libelous, disparaging, vulgar, obscene, pornographic or that promotes violence, racial hatred, terrorism or illegal acts, or is otherwise objectionable (as determined by us in our sole discretion);
  • Transmit or otherwise make available any content that is unlawful or infringes, violates, alters or misappropriate any patent, trademark, trade identity right, trade secret, publicity right, privacy right, copyright or any other intellectual property or any other rights of any third party;
  • Upload, introduce or transmit viruses, Trojan horses or other harmful, disruptive or destructive files or material that is malicious or technologically harmful; 


  • Transmit, or procure the sending of, any advertising or promotional material, without our prior written consent, including any “junk mail”, “chain letter”, “spam”, or any other similar solicitation; 

  • Engage in spidering, “screen scraping,” “database scraping,” harvesting of e-mail addresses or other personal information, or any other automatic or unauthorized means of accessing, logging-in or registering on the Services, or obtaining lists of users or other information from or through the Services, including, without limitation, any information residing on any server or database connected to the Services;
  • Use any robot, spider, or other automatic device, process, or means to access the website for any purpose, including monitoring or copying any of the material on the website; 


  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the website, the server on which the websiteis stored, or any server, computer, or database connected to the website; or
  • Attack the Services or otherwise attempt to interfere with the proper working of the website or engage in any other conduct that may harm the Company or users of the Services or expose them to liability.
  • We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time, for any or no reason, including if, in our opinion, you have violated any provision of these Terms.
  • You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.
  • You alone are responsible for the content and consequences of any of your activities while you are visiting or using the Services.
  • You will promptly notify us if you know of or suspect any unauthorized access to or use of a product or service, and on request by us you will cooperate with and assist us to investigate and respond to the unauthorized access or use (as applicable).

Consent to Electronic Communications and Email Solicitation

When you register for Services, you may choose to receive information and other materials regarding products, services, and other offers from time to time as described in our Privacy Policy. Such solicitations may take the form of materials mailed to you, telephone calls, e-mail messages, or other forms. Solicitations will be made to the addresses and numbers provided to us in the registration process.

User Submissions and User Contributions

We do not ask for nor do we wish to receive any confidential, secret or proprietary information or other material from you through the Services, by email or in any other way. If you post, upload, transmit or submit any materials, assessment answers, content (including, for example, any photographs), information, feedback, comments, suggestions for corrections, suggestions for improvements, suggestions for enhancements or ideas to Exponential Exposure (“Your Content”), (i) you represent and warrant that Your Content is original to you, that no other party has any rights thereto, and that any “moral rights” in Your Content have been waived, and (ii) you grant to Exponential Exposure a non-exclusive, fully-paid, royalty-free, unrestricted, perpetual, irrevocable, fully transferable, assignable and sublicensable, and worldwide license in all current and future media to reproduce, modify, adapt, publish, publicly perform and display, distribute, sublicense, create derivative works, sell, and otherwise use Your Content for any purpose Exponential Exposure chooses, commercial or otherwise, in its sole discretion, without any compensation to you and in accordance with our Privacy Policy. We cannot be responsible for maintaining Your Content that you provide to us, and we may delete or destroy Your Content at any time.

Information About You and Your Visits to the Website

All information we collect on this website is subject to our Privacy Policy. By using the Service, you consent to all actions taken by us with respect to your information in compliance with our Privacy Policy and applicable data protection laws.

Orders

 

  • An order is not binding upon Company until it is accepted. Company must receive payment before it will accept an order. Your order will be deemed accepted by Company when Company processes payment for your order or you receive an order acceptance notice (by email), whichever is sooner. You must complete payment prior to commencing the Services unless you participate in installment or subscription billing, as applicable. If available and you select installment billing we will charge an installment billing registration fee and make the specified charges to your credit card as reflected in your order summary or invoice. Failure to complete timely payment (or credit card payments being declined) may result in the discontinuation of services. You authorize all such charges.
  • Products or services advertised on the website may not be available when ordered or thereafter. If you order a product or service that is not available, we will notify you by email. We reserve the right in our sole discretion to refuse to accept or cancel and refund any order you submit and to limit quantities available for sale or sold to you.
  • All prices and other amounts are quoted in US dollars, unless expressly indicated otherwise. We reserve the right to change prices advertised at any time. The total price of your order will include the price of the ordered products or services plus all applicable delivery charges, handling charges and potentially taxes. The price and applicable taxes and charges will appear on the completed order form, and will be charged to your specified payment service when your order is accepted by us or as otherwise set out in your order.
  • Purchases may be subject to taxes in many states. Tax rates are different from state to state. You are responsible for paying all such taxes.
  • Our payment services are offered by a third-party, your use of such services is subject to those additional terms and conditions, which are incorporated into this Agreement by this reference.
  • You are responsible for meeting and maintaining the minimum technical requirements for your selected purchase in order to access certain features of your purchase. Access to products or services may require internet access, for which we are not responsible.  
  • You acknowledge that assessments are administered by computer and require basic computer skills, and you will not be entitled to retake an assessment or receive a refund of fees if you lack, or lack access to, the computer skills required to take an assessment or if your lack of, or lack of access to, the required computer skills adversely affects your performance on the assessment.
  • Subject to the provisions of these Terms and your payment of all applicable fees, we hereby grant you a non-exclusive, personal, non-sublicensable, non-transferable, restricted and limited license to access and use each product or service made available to you. You may use the materials solely for your personal participation in a course and not for any other purpose whatsoever. Unauthorized use of materials is strictly prohibited.
  • We will at all times solely own and retain all rights, title and interest (including all intellectual property rights) throughout the world in, to and associated with services and products; and neither you nor any other person will acquire any right, title or interest in, to or associated with any product or service.

Changes, Cancellations and Refunds

Your registration for a service is specific to the particular service for which you have registered. You may not change or cancel an order for a service, unless you have entered into a separate agreement with the Company where that separate agreement details the change, cancellation and refund policy.

In no event may a refund exceed the amount that Exponential Exposure received for the service. Refunds are available only for services purchased directly from Exponential Exposure and are not available for purchases made from other third parties.

Intellectual Property

Our Services contain copyrighted material, inventions, know-how, potentially patentable business method material, design logos, phrases, names, logos, text, graphics, images, photographs, digital downloads, audio clips, video clips, animation, look-and-feel, layout, organization, presentation, user interface, navigation, trade dress, stylistic convention, data compilations and software (collectively, “Intellectual Property Content”). Our Intellectual Property Content is our sole property, and we retain all related intellectual property rights, including, but not limited to, all trademark rights, patent rights and moral rights, interests and title thereto. The compilation of all content on this website is the exclusive property of the Company and protected by U.S. and international copyright laws. All trademarks, logos, service marks and trade names (collectively, the “Trademarks”) displayed on the Services are registered or unregistered Trademarks of Exponential Exposure and/or others, and may not be used unless authorized by the Trademark owner.  All Trademarks not owned by us that appear on the Services, if any, are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us. Nothing contained on the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Services.  

Your use of the Services does not give you ownership of any Intellectual Property Content.

Confidentiality

 

You acknowledge that the products and services sold by Company are the confidential and proprietary information and property of Company. You hereby agree to protect such products and services as confidential. As a further condition to the purchase and/or receipt of such products and/or services of the Company by you, whether at a price or for free, you agree you will not, nor allow others, to directly or indirectly copy, distribute, resell, lend, lease, display, teach to others or show these products and/or services to others.

In the event you disagree with these terms, you must immediately discontinue using the products purchased from Company. Anyone viewing or otherwise utilizing the products of Company by such conduct is agreeing to be bound by the terms set forth herein, and as such must immediately comply with the terms of this agreement. In the event that Company discloses any portion of its information to the public, it should be understood that anything not publicly disclosed by Company remains information that you have an obligation to protect and maintain as confidential.

 

Claims of Infringement of Copyright or other Intellectual Property

 

We respect the intellectual property rights of others, and require that the people who use our Services do the same. If you believe your copyright has been infringed, or your intellectual property rights otherwise violated, please provide us with each of the following:

  • Identification of the copyrighted work you claim has been infringed;
  • Identification of the material on the Services that you claim is infringing, with enough detail so that we may locate it (must include URL);
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • A statement by you declaring under penalty of perjury that (1) the above information in your notice is accurate, and (2) that you are the owner of the copyright interest involved or that you are authorized to act on behalf of that owner;
  • Your address, telephone number, and email address; and
  • Your physical or electronic signature.

Your notification will be subject to applicable copyright laws.

If you give notice of copyright infringement by e-mail, we may begin investigating the alleged copyright infringement; however, we must receive your signed statement as an attachment to your e-mail before we take any action.

Changes to the Services

We frequently update, revise and modify our content, including descriptions, course materials, features and services. We reserve the right to withdraw or amend our Services, and any service or material we provide, in our sole discretion without notice and at any time. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period, and if any of the material on our Services may be out of date at any given time.

Monitoring and Enforcement and Termination

We may restrict, suspend or terminate your access if we reasonably believe or suspect you have acted inappropriately or you are in breach of these Terms, applicable law, or for any other reason without notice or liability. 

Links to Third Party Sites

 

As a convenience for users, the Services may contain links to internet sites maintained by third parties (“Linked Sites”).  This includes links contained in advertisements, including banner advertisements and sponsored links. You acknowledge and agree that we do not operate or control in any respect, or necessarily endorse, the information, content, products, services, advertising, or other materials that may be found on a Linked Site.  When you link or click to a Linked Site, you become subject to their terms and conditions and privacy policy rather than to ours. You assume sole and complete responsibility for, and we do not accept any responsibility for, any losses or penalties incurred as a result of, your use of Linked Sites, and any reliance on the contents of a Linked Site is at your own risk. 

General Disclaimers & Limitation of Liability

We provide information of a general nature only and you are responsible for determining whether it applies to your specific situation. We specifically disclaim any liability concerning any action that any person may take based on any information or guidance provided through the Services.

THE SERVICES AND THE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY FOR INFORMATION, DATA, DATA PROCESSING SERVICES, UPTIME OR UNINTERRUPTED ACCESS, ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY OR USEFULNESS OF CONTENT AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT, WHICH ARE EXCLUDED FROM THIS AGREEMENT TO THE EXTENT THAT THEY MAY BE EXCLUDED AS A MATTER OF LAW. EXPONENTIAL EXPOSURE DOES NOT WARRANT THAT THE SERVICES, CONTENT, FUNCTIONS OR MATERIALS CONTAINED THEREIN WILL BE TIMELY, SECURE, UNINTERRUPTED, OR OPERATED FREE OF DELAYS IN TRANSMISSION, FAILURE IN PERFORMANCE, COMPUTER VIRUSES, INACCURACIES, ERRORS, OR DEFECTS.  YOU USE THE SERVICES AT YOUR OWN RISK. EXPONENTIAL EXPOSURE ALSO ASSUMES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR, ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT, YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING IN THE SERVICES OR YOUR DOWNLOADING OF ANY MATERIALS, DATA, TEXT, IMAGES, VIDEO, OR AUDIO FROM THE SERVICES.  YOU ARE RESPONSIBLE FOR IMPLEMENTING SUFFICIENT PROCEDURES AND VIRUS CHECKS (INCLUDING ANTI-VIRUS AND OTHER SECURITY CHECKS) TO SATISFY YOUR PARTICULAR REQUIREMENTS FOR THE ACCURACY AND SECURITY OF DATA INPUT AND OUTPUT. EXPONENTIAL EXPOSURE MAKES NO WARRANTY THAT THE SERVICES WILL MEET USERS’ REQUIREMENTS. NO ADVICE, RESULTS OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

IN ALL CIRCUMSTANCES OUR MAXIMUM LIABILITY IS LIMITED TO THE PURCHASE PRICE OF THE PRODUCTS OR SERVICES SOLD. COMPANY SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE UPON A CLAIM OR ACTION IN CONTRACT, TORT, INDEMNITY OR CONTRIBUTION, OR OTHER CLAIMS RELATING TO THE PRODUCTS OR SERVICES IT SELLS WHICH EXCEEDS THIS LIABILITY LIMIT. COMPANY SHALL NOT BE LIABLE FOR THIRD PARTY CLAIMS FOR DAMAGES AGAINST THE USER, OR FOR MALFUNCTION, DELAYS, INTERRUPTION OF SERVICE, LOSS OF BUSINESS, LOSS OR DAMAGE TO EXEMPLARY DAMAGES, WHETHER OR NOT COMPANY HAS BEEN MADE AWARE OF THE POSSIBILITY OF SUCH CLAIMS OR DAMAGES.

Indemnification

 

You agree to indemnify and hold Exponential Exposure and any affiliates, agents, team members or other party associated with Exponential Exposure harmless from any causes of action, injury, illness, misunderstanding, damages, losses, costs, expenses incurred as a result of your use of the Services, as well as any third-party claims of any kind (including legal fees) arising from his/her actions as a direct or indirect result of your participation in the Services. Should we be required to defend ourselves in any action directly or indirectly involving you, or an action where we decide your participation or assistance would benefit our defense, you agree to participate and provide any evidence, documents, testimony, or other information deemed useful by us, free of charge. 

 

Miscellaneous

  • This Agreement shall be deemed to include all other notices, policies, disclaimers, and other terms contained in the Services, including our Privacy Policy provided, however, that in the event of a conflict between such other terms and the terms of this Agreement, the terms of this Agreement shall prevail.
  • You agree that Exponential Exposure may assign any of its rights and/or transfer, sub-contract or delegate any of its obligations under this Agreement.  This Agreement is personal to you and you may not transfer or assign it to a third party.
  • Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
  • If any part of this Agreement is determined to be invalid or unenforceable under applicable law including but not limited to the warranty disclaimers and liability limitations stated above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect.
  • This Agreement supersedes all prior or contemporaneous proposals, oral, understandings, representations, conditions, warranties, and all other communications between the Company and you. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.
  • Any dispute arising out of or related to this Agreement shall be governed by the laws of the State of Texas, without giving effect to any choice or conflict of law provision or rule whether of the State of Texas or any other jurisdiction. Company and you consent to the exclusive jurisdiction and the exclusive venue of the State Courts of the State of Texas, to resolve any dispute between them related hereto, and the parities waive all rights to contest this exclusive jurisdiction and venue of such Courts. Finally, you also agree not to bring any legal action, based upon any legal theory including contract, tort, equity or otherwise, against Company that is more than one year after the date of the applicable invoice.
  • Any rights not expressly granted in this Agreement are reserved to Exponential Exposure.
